Terms of Business
Last updated: October 2026
These terms explain how Smart Protect Group UK Ltd ("we", "us") works with collectors, sellers, art advisers and galleries ("you"). They apply to every introduction we make, together with any written fee agreement between us. If the fee agreement and these terms differ, the fee agreement applies.
1. About us
Smart Protect Group UK Ltd is a company registered in England & Wales, Company No. 13686325. Registered office: Unit 2, Beverley Court, 26 Elmtree Road, Teddington, TW11 8ST. Email: op@smart-protect.uk.
2. Our role
We act as an introducer. We put buyers, sellers and art advisers in touch with each other where we believe there is a genuine fit.
- We do not own, hold or take possession of any work of art.
- We do not set prices or negotiate on behalf of either party. All terms of a sale are agreed directly between buyer and seller.
- We do not provide valuations, authentication, condition reports, or financial, investment, legal or tax advice. You should obtain your own independent advice before any purchase or sale.
- We are not a party to any sale contract between buyer and seller.
3. Fees
Our fee is agreed with the introducing party in writing before an introduction is made. Unless agreed otherwise, the fee is a success fee, due only when a sale resulting from our introduction completes, and is payable within 14 days of completion. Fees are stated exclusive of VAT, where applicable.
A fee is also due if, within 24 months of our introduction, you complete a sale with the party we introduced or anyone acting for them, for the work we introduced or a work connected with it.
4. Non-circumvention
You agree not to bypass us by dealing directly or through others with a party we introduced, in order to avoid paying our fee.
5. Confidentiality
We treat all enquiries and introductions as confidential and share information with the other party only with your agreement. In return, you agree to keep confidential any information we or the introduced party share with you, and not to pass it on without consent. We can sign a separate confidentiality agreement on request.
6. Identity and anti-money laundering checks
Before making an introduction we may ask for proof of identity and address, information on ownership of a work, and the source of funds. We may decline or stop an introduction if we cannot complete these checks, or if we have concerns about a transaction. Where the law requires it, we may report concerns to the relevant authorities without telling you.
7. Your responsibilities
You confirm that the information you give us is accurate and complete. If you are selling, you confirm that you own the work or are authorised to sell it, and that you know of no claim over it. Buyers and sellers are each responsible for their own checks on title, provenance, authenticity and condition.
8. Liability
Because we act only as an introducer, we are not responsible for the conduct of any party we introduce, or for the title, authenticity, condition, value or delivery of any work, or for payment between buyer and seller.
Our total liability to you in connection with any introduction is limited to the fee paid to us for that introduction. Nothing in these terms limits liability for fraud, or for death or personal injury caused by negligence, or any other liability that cannot be limited by law.
9. Ending our relationship
Either of us may end our working relationship at any time by written notice. Fees for introductions already made, and the sections on fees, non-circumvention, confidentiality and liability, continue to apply.
10. Changes
We may update these terms from time to time. The version on this page at the time of an introduction applies to that introduction.
11. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
